Terms of service
This End-User License Agreement (EULA) is a legal agreement between you (Licensee) and BlueGrid Ltd. (Developer) for the GridX software, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (Software).
By installing, copying, storing, or otherwise using the Software, you agree to be bound by the terms of this EULA.
License Grant: Subject to the terms and conditions of this EULA, the Developer hereby grants to the Licensee a limited, non-exclusive, non-transferable license (without the right to sublicense) to use the Software solely for the Licensee’s internal business purposes.
Restrictions: Licensee shall not (i) copy or reproduce the Software; (ii) modify or create derivative works based upon the Software; (iii) distribute, sell, sublicense, rent, lease or use the Software for time sharing or service bureau purposes; (iv) reverse engineer, decompile or disassemble the Software; (v) remove any proprietary notices or labels on the Software; or (vi) use the Software in any other way except as expressly allowed in this EULA.”
Ownership: The Developer retains all rights, title, and interest in and to all intellectual property rights embodied in or associated with the Software.
Term and Termination: This Agreement shall commence upon the Licensee’s acceptance of this EULA by installing, storing, and/or using the Software and shall continue until terminated as set forth herein. Either party may terminate this EULA at any time, with or without cause. The Licensee may terminate this EULA at any time by stopping using and destroying all copies of the Software. The Developer may terminate this EULA with or without notice to the Licensee if the Licensee breaches any term or condition of this EULA. Upon termination of this EULA for any reason, all licenses granted under this EULA shall immediately terminate and the Licensee shall immediately cease use of the Software.
Disclaimer of Warranties: The Software is provided “as is” without warranty of any kind. The Developer disclaims all warranties of any kind with respect to the Software whether expressed or implied including but not limited to the implied warranties of merchantability and fitness for a particular purpose.
Limitation of liability: In no event shall the Developer be liable for any direct, indirect, incidental, or consequential damages whatsoever (including without limitation damages for loss of information) arising out of the use of or inability to use the Software even if the Developer has been advised of the possibility of such damages.
General: This EULA constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations. This EULA shall be governed by and construed in accordance with the laws of Vietnam without giving effect to its conflict of law provisions. By using the Software, the Licensee acknowledges that it has read this EULA, understands it, and agrees to be bound by its terms and conditions.
